Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of Autumn Social (“Autumn,” “we,” “us,” or “our”), a social media management platform for independent hotels. By creating an account or using our website and services (collectively, the “Service”), you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Autumn Social provides tools for independent hotel operators to manage their social media presence. The Service includes:
- Creating, scheduling, and publishing social media posts to connected platforms
- Connecting and managing social media accounts (such as Facebook Pages and Instagram Professional accounts)
- Brand analysis and content recommendations
- Media management and storage
- Collaborative content approval workflows
3. Account Registration
To use the Service, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Publish content that is unlawful, defamatory, obscene, or otherwise objectionable
- Distribute spam, unsolicited messages, or misleading content
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service except through our provided APIs
- Impersonate any person or entity
5. Third-Party Platform Terms
The Service integrates with third-party social media platforms, including those operated by Meta (Facebook and Instagram). When you connect your social media accounts and use the Service to interact with these platforms, you must also comply with their respective terms and policies:
We are not responsible for the availability, accuracy, or content of third-party platforms. Changes to third-party APIs or policies may affect the functionality of the Service.
6. Content Ownership
You retain ownership of all content you create, upload, or publish through the Service (“Your Content”). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service to you.
You represent that you have all necessary rights and permissions to use and publish Your Content, and that Your Content does not infringe on any third-party rights.
7. Privacy and Data Deletion
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
You may request deletion of your data at any time by contacting us at privacy@autumnsocial.com, disconnecting your social media accounts in Settings, or removing Autumn Social from your Facebook App settings. Full details on data deletion are available in our Privacy Policy.
8. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Autumn Social and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be available on an uninterrupted, secure, or error-free basis.
11. Indemnification
You agree to indemnify and hold harmless Autumn Social and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Changes to These Terms
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
